Enzygn Terms and Conditions

This Terms of Use Agreement (“Agreement”) is a legally binding contract between Enzygn (“Enzygn,” “we,” “us,” or “our”) and you (“Client,” “you,” or “your”), whether acting on your own behalf or on behalf of another entity. This Agreement governs your access to and use of Enzygn’s website located at [www.enzygn.com] (the “Website”), as well as any related media, channels, mobile sites, or applications linked to it.

By accessing or using our Website, you agree to be bound by all of the terms, conditions, and obligations in this Agreement. If you do not agree with these Terms of Use in their entirety, you are prohibited from using the Website and must discontinue use immediately. If you discontinue use, our relationship shall cease, except that any outstanding payment obligations you owe to Enzygn for services rendered shall remain in effect.

1. Intellectual Property Rights

The Website, including its source code, databases, functionality, software, designs, text, audio, video, photographs, graphics, and all other content in any form (collectively, the “Content”), as well as any trademarks, service marks, and logos contained therein (the “Marks”), are owned and controlled by Enzygn and are protected by applicable intellectual property laws. Except as expressly permitted in this Agreement, no part of the Website or Content may be copied, reproduced, republished, distributed, sold, licensed, or exploited for any commercial purpose without our prior written consent. Enzygn reserves all rights in the Website, Content, and Marks.

2. Ownership of Project Materials

While Enzygn retains ownership of any general feedback, suggestions, or other submissions you provide (as detailed in Section 6 below), any original design and source files we create specifically for your projects (“Projects”) become your property upon payment. You shall hold the sole copyright to these Projects.

You represent and warrant that any materials you provide to Enzygn during the design and development process are owned by you or that you have the necessary rights to use them, and that these materials do not infringe upon any third-party rights. Enzygn may showcase final design work publicly (e.g., on our website or social media) unless otherwise restricted by a signed NDA, as referenced in Section 18.

3. Third-Party Fonts

If a Project uses fonts not owned by Enzygn and requires a commercial license, we will notify you in writing. You are responsible for purchasing the necessary licenses for these third-party fonts. Once we’ve informed you, any legal compliance related to font licensing rests with you.

4. Client Representations

By using the Website, you represent and warrant that:

•You have the legal capacity to agree to these Terms of Use.

•You are not a minor in your jurisdiction of residence.

•You will not access the Website through automated or non-human means.

•You will not use the Website for any illegal or unauthorized purpose.

•Your use of the Website does not violate any applicable laws or regulations.

5. Prohibited Activities

You agree not to use the Website for any purpose not authorized by Enzygn. Prohibited activities include, but are not limited to:

•Unauthorized commercial use or data extraction.

•Circumventing security measures or engaging in fraudulent behavior.

•Interfering with the Website’s operations, network, or servers.

•Attempting to reverse engineer, decipher, or disassemble any part of the Website.

•Harassing Enzygn employees or third parties associated with the Website.

•Using the Website in a manner inconsistent with any laws or regulations.

6. Client Feedback

Any questions, comments, suggestions, or other feedback (“Submissions”) you provide become the sole property of Enzygn. We may use Submissions without obligation to you, except where rights in your Project materials are otherwise granted to you as per Section 2.

7. Management & Oversight

Enzygn reserves the right to monitor the Website, enforce these Terms of Use, and restrict or revoke your access if we determine, in our sole discretion, that you have violated these Terms or applicable law.

8. Privacy Policy

Your use of the Website is also governed by our Privacy Policy, which is incorporated by reference. By using our Website, you consent to data processing in the United States. We do not knowingly solicit data from minors under 13 years of age.

9. Returns & Refunds

Refund requests are evaluated on a case-by-case basis and may be denied at Enzygn’s discretion. If a refund is granted during the first month of service, all materials produced remain the property of Enzygn and cannot be used by the Client. If a refund is issued,  50% fee may apply to cover labor costs at $75/hr USD. Enzygn reserves the right to take legal action for breach of this provision.

10. Modifications

We may update or modify the Website and its content at any time, without notice or liability, and may discontinue all or part of the Website at our sole discretion.

11. Connection Interruptions

We do not guarantee uninterrupted access to the Website. Enzygn is not liable for any damages resulting from downtime, interruptions, or errors beyond our control.

12. Governing Law

These Terms of Use are governed by the laws of the State of California, without regard to conflict of law principles.

13. Litigation

Any disputes must be brought in the state courts of Alameda County, California, or the U.S. District Court for Alameda County of California. You agree to submit to personal jurisdiction in these courts.

14. Disclaimer

The Website is provided “as-is.” Enzygn disclaims all warranties, whether express or implied, including merchantability and fitness for a particular purpose. We are not responsible for errors, omissions, or issues arising from third-party links or content.

15. Limitation of Liability & Indemnification

Enzygn is not liable for any indirect, incidental, or consequential damages arising from your use of the Website. You agree to defend, indemnify, and hold Enzygn harmless from any claims or demands arising from your use of the Website or violation of these Terms.

16. User Data

You are solely responsible for any data you transmit through the Website. Enzygn is not liable for any loss or corruption of such data.

17. Electronic Communications

You consent to receive electronic communications and agree that such communications satisfy legal requirements for written communication. You also agree to electronic signatures and records in place of physical documents.

18. Showcasing Work

Enzygn reserves the right to showcase design work publicly unless otherwise agreed upon and documented (e.g., via a signed NDA), which would prevent us from sharing or discussing your work publicly.

19. Referrals

Referral tracking and payouts are managed through our third-party partner, Rewardful.com, and are subject to their terms.

20. Entire Agreement & Miscellaneous

These Terms, along with any policies referenced herein, represent the entire agreement between you and Enzygn regarding your use of the Website. Should any part of these Terms be deemed unlawful or unenforceable, that portion shall be severed, and the remaining provisions will remain valid. No joint venture, partnership, or agency relationship is formed by these Terms.
